Andrew has two decades of experience advising leading companies on technology, commercial, IP, start-up, media and corporate matters.  Andrew founded Amplify after advising clients at Arnold & Porter LLP and Wilson, Sonsini, Goodrich & Rosati, P.C. and counsels businesses ranging in size from Fortune 500 companies to entrepreneurs and start-up companies.

 

A dynamic attorney with broad business experience in the technology, commercial/professional services, software/hardware, new media, online/e-commerce, finance and health care/biotech industries, Andrew is recognized as a valued advisor and problem solver with exceptional analytical, interpersonal and leadership skills.  He has an extensive background in managing and negotiating complex transactions creating significant value and measurable results for clients. 

 

Andrew brings significant project management, negotiation, value creation and analytical skills from high level representations (including Verisign, Aol, Goldman Sachs, Merck), as well as a strong background in corporate and operational compliance and legal risk management.  He has co-founded numerous startups in tech and commercial industries. In addition, Andrew also has technical experience in open source software licensing, game theory, algorithm and product design and product development management.

 

Andrew graduated from the College of William & Mary School of Law (Order of the Coif - top 4% of class) with numerous honors and holds both a BA and BBA from the College of William & Mary in Government and Finance (cum laude).  Andrew is admitted to practice in Virginia.

Melinda Freyfogle

Melinda has over a decade of diverse transactional experience, with a focus on Corporate and Intellectual Property transactions.   She has represented clients ranging from startups to Fortune 100 companies, and clients operating in a variety of industries, including pharmaceutical, medical device, technology, software, media, non-profits, publishing and government contracting companies.  

 

Melinda’s Intellectual Property practice focuses on technology-related transactions and the   development, protection, transfer and commercialization of intellectual property assets. Her experience in this area includes drafting and negotiating licensing arrangements, outsourcing arrangements, clinical trial agreements, research collaborations, joint venture arrangements, reseller and distribution agreements, development and service agreements, technology transfer arrangements, intellectual property assignment agreements, software as service arrangements, employment-related agreements and general commercial transactions.  In this capacity, she has particularly concentrated on life sciences transactions. Her Corporate practice focus on mergers and acquisitions, private equity investments, capital raising transactions, and corporate governance.  She has helped clients in all stages of the corporate life cycle, including matters ranging from corporate formation and daily governance, to the structuring of financing transactions, to exit transactions and dissolutions.  Melinda also has experience with intellectual property and technology licensing aspects of corporate transactions and related due diligence matters.

 

Melinda graduated from the College of William & Mary School of Law, where she served as an Editor on the William & Mary Law Review.   She also holds a B.A. from the University of Pennsylvania in International Relations.  Prior to joining Amplify, Melinda worked in the Corporate and Intellectual Property practice groups of Arnold & Porter Kaye Scholer.  Melinda is admitted to practice in Colorado and Virginia.

In her free time, Melinda enjoys spending time with her family, cooking, hiking and exploring beautiful Colorado.

Ernest Norman

Advisor

Ernie is an accomplished counselor with broad legal and management experience in banking, financial services, technology, manufacturing, and services businesses, as well as in private practice.  Ernest has held senior management (CxO) and General Counsel positions at public companies and large private companies where he focused on driving business results and working with other business leaders to drive growth and mitigate risk.  Ernie is retied from active practice but advises Amplify on internal matters.

 

Ernie held positions as Chief Administrative Officer and General Counsel at Valiant Brands,  General Counsel at Trico Products (then NASDAQ), Vice President and General Counsel of Goldome Bank (NYSE - then the country's 13th largest bank), Chief Counsel and Director at Greatbatch Technologies (NASDAQ).  He has represented these companies collectively through multiple IPOs, mergers and acquisitions, private equity investments, compliance audits, corporate reorganizations and many other legal and business matters.

 

Ernie is recognized as a valued business advisor and problem solver with exceptional organizational and administrative expertise.  He has extensive background in corporate governance, litigation management, complex business transactions (domestic and international), investor relations, ethical awareness, and regulatory enforcement and compliance. 

 

Ernie graduated from the University of Buffalo School of Law and obtained his BA from UB as well.  He has been President of the Erie County Bar Association and held executive and board positions at many local organizations and associations.  He teaches on the Faculty of the University of Buffalo.  He is admitted to practice in New York.
